The following information is provided for BAA shareholders relating to the Ferrovial (ADI) takeover in August 2006

Who is Ferrovial/ADI?

Ferrovial ADI (Airport Development and Investment Limited) is a Spanish owned company. They are one of Europe's leading specialists in the design, construction, financing, maintenance of transport, urban and service infrastructure

Do I have to sell my shares?

Your shares have been compulsorily acquired under takeover laws. Once 90% of the share capital is accepted, the "bid company" can exercise its power to buy out the other shares held by the 10% that did not respond.

Why can't I have shares in ADI/Ferrovial?

The takeover was strictly a cash offer.

What was the cash offered?

£9.35 per share.

When did the 429 Notice expire?

4th September 2006.

I have lost my certificates, what should I do?

Tick the box provided on the claim form for missing certificates and we will arrange an indemnity for you

I have lost my certificates, can l arrange my own indemnity?

Yes, your local bank can arrange the indemnity for you. However, for it to be processed with your claim, you will be have to pay a £31.01 admin fee.

How long before I receive my entitlement?

6 weeks.

What type of identification documents do I need to send to Capita Hartshead Tracing solutions?

Capita Hartshead Tracing solutions will accept any one of the following forms of identification in support of your claim.

Please note: all documentation must be originals and have been issued in the last 3 months. If your address has changed from that shown on the Share Register, you will also need to supply documentation from your previous address as well.

  • Bank statement
  • An original utilities bill (e.g. Gas, Electric, Water, or Telephone - mobile bills are not acceptable)
  • Council Tax bill (valid for the current year)
  • Current  UK Driving Licence (old full licence or new photo card licence - 'old style' provisional licences are not acceptable)
  • EEA Member State Identity Card or Northern Ireland Voters Card that contains your address;
  • A solicitor's letter confirming recent house purchase or land registry confirmation;
  • A local Council rent card or tenancy agreement;
  • Benefits book or original notification from the Benefits Agency confirming the rights to benefits or
  • Inland Revenue correspondence addressed to you.

Where you have changed your name, please supply a certified copy of your Marriage Certificate, Deed Poll or Statutory Declaration or, in the case of divorce, a copy of the Decree Absolute and Birth Certificate showing the maiden name.

We do not recommend that originals of Driving Licences, Identity Cards, Passports, Benefits Books, Marriage Certificates or the like are submitted. Photocopies of these documents will be acceptable, provided that they are certified as a genuine copy of the original, including dating and rubber stamping (where appropriate) by any of the following: A UK Lawyer, Professionally Qualified Accountant, Doctor of Medicine, Bank Official, Government Official, Schoolteacher, Minister of Religion or Authorised Financial Intermediary.

Please note that you cannot certify copies of documents on your own behalf or submit copies of previously certified copies. Please ask the person (s) certifying copy documents to supply contact details. Wherever the situation provides, certification should be given against an impression of a stamp and a written statement on the copy document that the original has been seen. In the case of documents bearing a photograph, a statement should be made that the photograph bears a true likeness to the subject.

All documents are sent at your risk. Capita Hartshead Tracing solutions will use reasonable efforts to ensure the return all documentation received in respect of BAA claims but cannot be held responsible for lost or damaged documentation.
